Partner Referral Bonus - Terms & Conditions

Offer Summary:

The Partner Referral Bonus is available to active PayNuts Partners who refer new partners to join the PayNuts network and onboard new merchants. Under this offer, the Referred Partner will receive a $1,000 bonus, and the Referring Partner will receive a $2,000 bonus, subject to the eligibility criteria and terms outlined below.

Eligibility and Offer Terms:

1. The offer entitles:
   1. The Referred Partner to a one-time $1,000 bonus; and
   2. The Referring Partner to a one-time $2,000 bonus, provided all eligibility criteria and offer conditions are met.
2. To be eligible for this offer:
   1. The Referring Partner must be an active PayNuts Partner at the time of referral and at the time the bonus is due to be paid. “Active Partner “definition described in the Sales and Partnership Agreement.
   2. The Referred Partner must: a. Be new to the PayNuts network and sign up under a separate legal entity; b. Successfully sign up new merchants under the PayFac model; and c. Have at least 10 transacting MIDs (Merchant IDs) onboarded and actively processing payments by 11:59pm AEDT on 28 February 2026.
3. A transacting MID is defined as a merchant account that has processed at least one eligible credit or debit card transaction through the PayNuts platform.
4. Bonuses will be visible on the monthly partner rebates and paid via EFT to the bank accounts linked to the respective PayNuts Partner profiles. Payment will be made within 60 days after all eligibility criteria are verified and confirmed by PayNuts.
5. This offer is not available to:
   1. Existing PayNuts Partners referring themselves or sub-agents under a different entity;
   2. Referred Partners who were previously registered with PayNuts under any entity within the past 12 months.
6. If the Referred Partner fails to meet the onboarding or transaction requirements by the deadline, neither party will be eligible for the bonus.
7. PayNuts reserves the right to verify the identity and eligibility of both the Referring and Referred Partners and may withhold or cancel the bonus if fraudulent or suspicious activity is detected.
8. This offer is limited to one bonus per eligible referral. Multiple referrals are permitted, but each must meet the full eligibility criteria independently.
9. The offer is not transferable, redeemable for cash, or exchangeable for other services.
10. PayNuts is not responsible for any tax implications that may arise from the receipt of the bonus. Partners are advised to seek independent tax advice.
11. All services provided under this offer are subject to the PayNuts Merchant Agreement and all applicable policies as published on the PayNuts website or provided at the time of application.
12. PayNuts reserves the right to withdraw, vary, or substitute this offer at any time without notice.
