1. Overview

These Terms and Conditions ("Terms") govern the PayNuts Point of Sale Hardware Promotion ("Promotion") offered by PayNuts Pty Ltd ("PayNuts", "we", "us", or "our") to eligible merchants located in Australia. By accepting a quote, executing a merchant services agreement, or otherwise participating in the Promotion, you agree to be bound by these Terms.

This Promotion is governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising in connection with this Promotion shall be subject to the exclusive jurisdiction of the courts of Victoria.

2. Promotion Description

During the Promotion Period, eligible new customers of PayNuts will receive a 50% discount (inclusive of Goods and Services Tax) on the retail price (RRP) of PayNuts-approved point of sale (POS) hardware at the time of entering into a PayNuts merchant services agreement.

The discounted price is inclusive of GST as required under A New Tax System (Goods and Services Tax) Act 1999 (Cth). A valid tax invoice will be issued to the merchant confirming the GST-inclusive price paid.

3. Promotion Period

The Promotion is available only for merchant applications that are approved by PayNuts between 07:00 AEST on June 01, 2026, and 23:59 AEST June 30, 2026 ("Promotion Expiry Date").

• Applications submitted before the Promotion Expiry Date but not yet approved by PayNuts as at that date will not be eligible for the Promotion pricing.
• PayNuts reserves the right to extend or shorten the Promotion Period at its sole discretion, with any changes communicated via PayNuts' official website or directly to affected applicants.
• The date of approval is determined solely by PayNuts and its decision is final.

4. Eligibility Criteria

To be eligible for this Promotion, a merchant must satisfy all of the following conditions at the time of application and throughout the term of the merchant services agreement:

4.1 New Customers Only

The Promotion is exclusively available to merchants who do not currently hold and have not previously held within the last 12 months, an active merchant services agreement with PayNuts. Existing PayNuts customers, including those who have recently closed an account, are not eligible. New customers must have a valid ABN. PayNuts reserve the right to refuse or decline any merchant application in its absolute discretion.

4.2 Use of PayNuts EFTPOS Terminals

The discounted POS hardware must be used solely and exclusively with PayNuts’ payment processing services. The hardware is provided on the condition that it is used with a PayNuts-connected EFTPOS terminal for the duration of the merchant services agreement.

4.3 Prohibition on Resale and Third-Party Use

The discounted hardware must not be on-sold, transferred, licensed, leased, or otherwise made available to any third party. Use of the hardware with any payment processing provider other than PayNuts is strictly prohibited. Any breach of this condition will constitute a material breach of the merchant services agreement and may trigger the recovery provisions in Clause 6.

5. Approved Hardware

The 50% promotional discount applies only to PayNuts-approved point of sale hardware products as listed in the relevant quote or merchant services agreement at the time of application. This includes but is not limited to PayNuts Flexi and PayNuts Counter POS solutions. PayNuts reserves the right to update the list of eligible hardware at any time prior to the issuance of a formal quote.

Hardware remains the property of the merchant upon purchase. Title passes to the merchant upon payment of the promotional price in full. Risk of loss or damage passes to the merchant upon delivery.

6. Recovery of Discount

Without limiting any other rights or remedies available to PayNuts, the merchant acknowledges and agrees that PayNuts may recover the amount of the promotional discount (that is, the difference between the standard retail price inclusive of GST and the promotional price paid) in the following circumstances:

• The merchant ceases to process payments through PayNuts within 3 months of the commencement date of the merchant services agreement;
• The merchant on-sells, transfers, or otherwise deals with the hardware in breach of Clause 4.3; or
• The merchant uses the hardware in connection with a payment processing provider other than PayNuts.

Recovery of the discount will be treated as a debt due and payable by the merchant to PayNuts and may be deducted from any amounts otherwise owing to the merchant or invoiced directly.

7. No Warranty or Guarantee of Savings

Nothing in these Terms constitutes a representation or warranty as to the suitability of the hardware for the merchant's specific business requirements. PayNuts makes no guarantee that participation in the Promotion will result in cost savings over the term of the merchant services agreement relative to any other provider or pricing arrangement.

8. Limitation of Liability

To the maximum extent permitted by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) and other applicable Victorian and Commonwealth legislation, PayNuts' liability in connection with this Promotion is limited to the replacement of the relevant hardware or a refund of the amount paid for that hardware.

PayNuts does not exclude or limit any rights or remedies that cannot be excluded or limited under applicable law, including guarantees under the Australian Consumer Law.

9. Privacy

PayNuts collects, uses, and discloses personal information in accordance with its Privacy Policy available at www.paynuts.com.au and the Privacy Act 1988 (Cth). By participating in this Promotion, you consent to PayNuts collecting and using your information for the purposes of administering the Promotion and the merchant services agreement.

10. Variation and Withdrawal

PayNuts reserves the right to vary, suspend, or withdraw this Promotion at any time and without prior notice, subject to any rights that cannot be excluded under applicable law. Variations will not affect approved applications prior to the date of variation.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria for the resolution of any dispute arising under or in connection with these Terms.
